Advised and represented Iberotel, the claimant, in relation to a claim for compensation for unjustified termination of a management contract subject to arbitration before the CRCICA under the UNCITRAL Rules.

 

Advised and represented Look Advertising Company, the claimant, in relation to a claim against the Egyptian Union for Industry, for unsettled dues before the CRCICA under the UNCITRAL Rules.

 

Advised and representing Intermedica, a local commercial agent, the defendant and counter claimant, in relation to a claim by Becton Dickinson B.V. for the termination of an agency contract before the ICC under ICC Rules.

Advising on, negotiating and drafting loan and credit facilities agreements including syndicated loans and cross border transactions, financial lease, financial support, project finance and securities, securitization documents and structuring, factoring agents and operation. This also includes the preparation of collateral such as mortgages, pledges, escrows, etc.

 

Advised Barclays plc in respect of its majority interest in Cairo Barclays.

 

Advised a leading local bank on the establishment in an Egyptian free zone of a local factoring business in conjunction with an international factoring company and the IFC.

 

Participated in the team of lawyers acting as local counsel to Exim-Bank and the commercial lenders in relation to financing of 1,850 mtpd anhydrous ammonia plant to be constructed in a free zone in Egypt. Capital value was approximately US$ 300 million.

 

Advised the lenders, including APRICORP, in respect of a US$ 80 million secured lending to finance the equity contributions by EGPC and EGAS to Egypt LNG.

 

Participated in the team of lawyers that advised HSBC as global managers in respect of the global offering of 8,273,443 ordinary shares of par value LE 5 per share of Lecico, an Egyptian bathroom ware and tile manufacturer, in the form of shares and global Depository Receipts.

 

Advised Standard Chartered Bank and prepared transaction documents in relation to a Facility Agreement of US$ 38 million to re-finance the acquisition of a company.

Advised Flash Tours and prepared agreements in connection with the lease of airplanes.

 

Advised as local counsel in the settlement of damages sustained by the passengers in an airplane crash in Sharm El Sheikh.

 

Advised and represented Sinai for Hotel Management Company and the insurers and reinsurers in connection with their claim for damages resulted from an accident between airplanes that occurred on land.

Negotiating, advising on and drafting all types of commercial contracts such as consultancies, agencies, distributorship, franchises, trademarks licensing, joint ventures, management, sponsorship, technical assistance and technology transfer contracts, operating and maintenance.

Advising on mergers and acquisitions, conducting due diligence exercise on corporate entities, formation of offshore, free zone and in land companies, corporate restructuring, partnerships, branch offices as well as representative and scientific offices of foreign companies and assisting in the formation of the above.

 

Advised Delta Stock Brokers and prepared acquisition and cooperation contracts in connection with the acquisition by ABN Amro Bank of a majority stake in Delta Stock Brokers.

 

Advised on the restructuring and sale of Thebes Group, the umbrella for a number of schools, university and education, training and scientific institutes. This was the pioneer project of its kind in the education and academic sector in Egypt.

 

Advised Motorola International in relation to the acquisition of the first mobile network in Egypt, the Egyptian Company for Mobile Services.

 

Advised Intouch for Telecommunication Services in relation to its acquisition by Orascom Telecom.

 

Represented San Paolo IMI in its acquisition of Bank of Alexandria by conducting the required due diligence and rendered legal advice throughout the process of the acquisition.

 

Conducted the legal due diligence of Banque du Caire for SAMBA Financial Group in its bid to acquire the majority shares of Banque du Caire.

 

Advised Commercial Bank of Kuwait in its bid to acquire the majority shares of Al Watany Bank of Egypt.

Conducted the legal due diligence for the sale of Movenpick Media City.

 

Established offshore companies in various territories including but not limited to Jebel Ali, Cayman Islands, British Virgin Islands and Jersey.

Drafting and advising on privatisation, PPP, BOT contracts, public tenders, water and power concessions, infrastructure and housing projects.

 

Advised Arab International Contracting and prepared contracts in relation to the construction of a power plant based on the BOT system.

 

Advised Rohrbach in relation to the construction of cement factory on the basis of a project finance.

 

Advised numerous clients such as Toyota Egypt, Nile Trade (Honda) and Ruhrpumpen Egypt in relation to Board and General Assembly meetings.

Publishing and licensing contracts, trademark registration and copyright enforcement.

 

Assisted several authors in registering their copyright as well as drafted and negotiated their relevant publishing contracts.

Drafting and advising on employment contracts, employment policies, social insurance, work permits and labour disputes.

Disputes before all types of Egyptian courts including the Court of Cassation, the Supreme Constitutional Court and the Council of State.

 

Represented Bank of Alexandria in a law suit challenging the sale of its majority shares to a foreign bank.

 

Represented several foreign corporate clients in disputes with their local agents and/or distributions.

 

Represented several Egyptian families in claims for compensation for their agricultural lands confiscated pursuant to the Agrarian Reform laws and other properties confiscated pursuant to the laws governing confiscation of properties for public interest.

 

Represented numerous Egyptian clients in disputes resulting from Old Rent laws.

 

Represented numerous foreign suppliers in claiming and collecting their dues from local importers.

 

Represented numerous corporate clients in claims for damages filed by their employees for unjustified termination of employment.

 

Represented numerous foreign tourists in claims for damages for person injuries.

Advising on and negotiating software license and development agreements, website design and development agreements and satellite agreements.

 

Advised General Dynamics in relation to its assistance to the Egyptian Government in the preparation of the Egyptian Tele-communications Laws.

Advising on, negotiating and drafting rig contracts, maintenance and services and oil and gas concessions. Experience in the energy sector including establishing branch offices of oil service support companies, advising on concession and advising on dealings with the Government.

 

Advised Lukoil in relation to its concession agreement with EGPC.

 

Advised Dover Investments in connection with its meetings with EGPC and several oilfield services and other agreements.

 

Advised Tamoil in connection with several oilfield services and other agreements.

 

Acted for EATCO in its capacity as the developer of a major conversion of gas to polymers project including advising on the shareholders’ agreement.

 

Acted for a bidder for the purchase of Edison’s stake in EGYPT LNG, including review of project agreements.

Advised Tatweer in connection with the acquisition of old buildings in Downtown Cairo for the purpose of refurbishing such buildings and the resale or lease thereof.

 

Prepared contracts and documents and handled the sale and purchase of numerous types of properties for various individual and corporate clients and handled the notarization and registration of such transactions. 

Advised on and established philanthropic and all types of societies.

 

Advised the Brooke Hospital for Animals in relation to the cooperation of it branches in the United Kingdom, the Netherlands and Egypt in providing care for equine animals. 

Advising on the full acquisition of large scale development projects in some of the prime tourist areas in Egypt including Sahl Hasheesh, Marsa Alam and Hurghada. Each of these projects includes either a 4 or 5 star hotel, villas, time share units, residential units, commercial centers and lands.

 

Advised Allied Arab Investment Company in relation to the termination of its management agreement with Marriott. Further, assisted the client in the drafting of and negotiated a new management agreement with Accor.

Mohamed Nour.png

LL.B. (license en droit) and LL.M , Faculty of Law, Cairo University in 1983 and 1986 respectively.

 

Mr. Nour spent his first six years of practice working with Egypt’s oldest and most esteemed law firm “Hashem, Ibrahim and Tawfik”. He then went on to join the larger and more international firm of Baker and McKenzie, where he was associate for four years in the Cairo Office and three years in the Riyadh Office.

 

Mr. Nour is the founding partner of Nour Law Office. He is bilingual in Arabic and English and specialises in drafting and negotiating all types of commercial contracts including joint venture, licensing and agency agreements. He is also specialized in litigation and arbitration.

 

Mr. Nour is a member of the Egyptian Bar Association, admitted to plead before Egyptian Court of Cassation being the highest court in Egypt.
